Pilot Group Software License Agreement

1. This Software License Agreement (the "Agreement") is a legal agreement between you, the end-user ("Licensee"), and Authors of software ("Authors"). By using our software ("Pilot Group software") or storing it on a computer hard drive (or other type of media), you are agreeing to be bound by the terms of this Agreement.

2. Pilot Group software IS DISTRIBUTED "AS IS". NO WARRANTY OF ANY KIND IS EXPRESSED OR IMPLIED. YOU USE Pilot Group software AT YOUR OWN RISK. Pilot Group Ltd hereby disclaims all warranties and guarantees regarding the use, or the results of use, of Pilot Group software in terms of correctness, accuracy, reliability or otherwise. Pilot Group Ltd will not be responsible for any incidental, consequential, direct or indirect damages, including but not limited to damages for loss of profits, business interruption and loss of information resulting from the correct or otherwise use of Pilot Group software even if Pilot Group Ltd has been advised of the possibility of such damages. By installing Pilot Group software you acknowledge that you have read this disclaimer, understood it, and you agree to be bound by its terms and conditions. You also agree that the disclaimer is the complete and exclusive statement of agreement between the parties and supersede all proposals or prior agreements, oral or written, and any other communications between the parties relating to the subject matter of the disclaimer.

3. All copyrights to "Pilot Group software" are exclusively owned by the authors - Pilot Group Ltd.

4. You are welcome to test the trial version of the program for 15(or 30) days (this can't be applied concerning web scripts). These days do not have to be continuous calendar dates except the cases when software use is limited by number of software starts. If you don't run Pilot Group software on a particular date, it doesn't count against your trial days. This gives you plenty of time to try out the program on your own system. After you tested the trial version you are required to license this product and discontinue use of the trial version. Only the trial version of Pilot Group software may be distributed freely on online services, bulletin boards, or other electronic media as long as the files are distributed in their entirety.

5. After purchasing, Pilot Group Ltd grants you a non-exclusive license to use one copy of the software, on one computer, and make one copy of it for archival purposes. For purposes of this section, "use" means loading the software into RAM, as well as installation on a hard disk or other storage device. You may access the software from a hard disk, or any other method you choose, so long as you otherwise comply with this agreement. You may not install the licensed version of the software onto a network server or in any other way make it available to more than one user at a time unless you have arranged in advance for a multi-user license; make copies of the software other than one backup copy solely for archival purposes; sell, furnish, transmit, or give away the software such that the software is exploited in a commercial way; or sublicense, rent, lease, or otherwise market the software. You may permanently transfer the software to another owner only by providing written notice of such transfer to Pilot Group Ltd.

6. You may not alter Authors' software in any way, including emulate, clone, rent, lease, sell, modify, decompile, disassemble, changing or removing any messages or windows, otherwise reverse engineer, or transfer the licensed program, or any subset of the licensed program, except as provided for in this agreement or in the case or reseller agreement signed between you and Authors. Any such unauthorized use shall result in immediate and automatic termination of the license and may result in severe criminal and/or civil prosecution.

7. An upgrade replaces a previous version. It does not provide an additional license. When upgrading you must cease using the previous version, and also ensure that it is not used by anybody else.

8. All rights not expressly granted here are reserved by the Authors.

9. The terms of this license, as well as the Pilot Group software interface design, documentation, and coding are subjects of changes in future versions of Pilot Group sotware without any prior notice.

10. Installing and using Pilot Group software signifies acceptance of these terms and conditions of the license. If you do not agree with the terms of the license you must remove Pilot Group software files from your storage devices and cease to use Authors' products.

Web Solution License Agreement

"You" means the person or company identified below, who is being licensed to use the "Software" identified in the title of this License Agreement. "We" and "us" means Pilot Group company.

LIMITED NONEXCLUSIVE LICENSE

You acknowledge that you are acquiring only a limited nonexclusive license to use the Software (the "License"). We remain the owner of all right, title, and interest in the Software and in any copies of it.

This license grants you the following rights and imposes the following restrictions:

1. You may install and run Pilot Group Web solutions software on 1 (one) physical server under 1 (one) domain name of any level. The software may not be run on additional servers and can't be delivered, granted or indirectly given to other users without purchasing additional licenses.

2. You may not charge others for use of sites hosted on the server running this software. Nor may you provide free hosting of sites with our solution to the general public beyond access to sites you host for your own purposes, or in any other way compete with the Pilot Group.net hosting service by using this software.

3. This license does not grant any use of the Pilot Group name or brand. Any such use requires explicit permission from us.

LIMITED REMEDY

Independent of the foregoing provisions, IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM OR CONNECTED WITH THIS AGREEMENT OR YOUR USE OF THE SOFTWARE, regardless whether we know or have reason to know of the possibility of such damages.

Some states do not allow exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

YOUR INDEMNITY TO US

Independent of the foregoing provisions, you agree to defend and indemnify us against, and hold us harmless from, any and all claims, damages, losses, and expenses of any kind arising from or connected with the operation of your business.

TERMINATION

If you materially breach this License Agreement, we may terminate your right to use the Software by notice to you.

You agree that, upon termination of the License, you will either return to us or destroy all copies of the Software in your possession.

ENTIRE AGREEMENT, ETC.

This written License Agreement is the exclusive agreement between you and us concerning the Software and supersedes any and all prior oral or written agreements, negotiations, or other dealings between us concerning the Software.

This License Agreement may be modified only by a writing signed by you and us.

In the event of litigation between you and us concerning the Software, the prevailing party in the litigation and the prevailing party in any ancillary disputes (e.g., discovery disputes) will be entitled to recover attorneys' fees and expenses from the other party.

This License Agreement is effective upon the earlier of (1) your signature below, or (2) your use of the Software (provided that your acquisition of a copy of the Software was from us or our representative); you agree that we need not sign this License Agreement in order for it to take effect.
